These Terms of Service govern the use of this website and the six order desk services supplied by KunMing LouHangXu E-Commerce Co., Ltd. from the culture tower counter at Room 414, 4/F, Culture Technology Building, No 371 Qingnian Road, Wuhua District, KunMing City - 650000, China (CN). By visiting the website, sending a note to the desk or opening an order bay, you agree to these terms. If you do not agree, please do not use the website and do not open a bay. The desk is operated with technical support from the developer credited as HangXu Ecom, and the company remains responsible for the services described here.

1. Acceptance of these terms

These terms form a binding agreement between you and KunMing LouHangXu E-Commerce Co., Ltd. when you use the website, send a note to orders@hangxuecom.lat, call +13095369619 or open an order bay at the counter. If you accept these terms on behalf of an organization, you confirm that you have authority to bind that organization, and the word you then refers to the organization as well as to the individual who accepted the terms.

Where a separate written agreement covers a particular engagement, that agreement prevails over these terms to the extent of any conflict, and these terms apply to every matter that the separate agreement does not address. A purchase order, a reseller form or a portal click does not override these terms unless a director of the company signs a written variation.

2. Definitions

In these terms, the company means KunMing LouHangXu E-Commerce Co., Ltd.; the desk means the culture tower counter operated by the company; the website means the pages served at hangxuecom.lat; the services mean the six desk services described in section four; a bay means the numbered position on the ground rail that holds the order sheet for one engagement; an order sheet means the written record of scope, parts, reviewers and delivery window; a floor note means a short slip carried by hand between departments; a seller letter means a letter posted to the desk by a supplier, reseller or partner; a stock window means a scheduled reading of the parts catalogue against the shelf count; a listing means a published description of a part, a service line or an assembly; and a pack sitting means the final sight check performed before a box is sealed.

3. Who may use the desk

The desk serves businesses, professional clients, integrators, resellers and sellers of compatible components. You must be at least eighteen years old and legally able to enter a contract to open a bay or to place an order. The desk does not sell to consumers for personal household use and does not knowingly accept a request from a child under sixteen.

We may ask for evidence of your identity, your authority within an organization or your registration as a business before we open a bay. We will tell you why we need the evidence and we will keep it only for as long as the reason for the request continues. We may decline a request without giving detailed reasons where the law allows, and in that case we will return any documents you have sent.

4. The services we supply

The desk supplies six services: order sheet bays, floor note runs, seller letter desks, stock windows, listing review rounds and pack sittings. Each service is described on the services page of this website, and the description forms part of these terms. The services are clerical, editorial and record keeping services that support computer integrated systems design work. The company does not manufacture a control cabinet, does not certify a part and does not act as an installer unless a separate written agreement says so.

We perform every service with reasonable care and skill. Where a service depends on information that you supply, such as a parts list, a drawing or a preferred delivery window, we rely on that information being complete and accurate. We will tell you when a request falls outside the services we offer, and we will not accept a bay that we cannot honestly run.

5. Order sheet bays

A bay is opened when the desk accepts your request. The clerk prints an order sheet with your name, your organization, the floors involved and the reviewer who will read the finished work. You may change the scope of a bay while it is open, but every change is written in the margin and initialled, and a change that alters the parts list or the delivery window may require a new stock window.

A bay is owned by the clerk named on the sheet. The clerk answers questions about the bay and signs the closing entries. If the clerk is absent for more than two working days, the desk will assign a substitute and write the substitution on the sheet. A bay that stays open without any reply from you for sixty days may be closed as dormant, and the sheet will be bound and stored under the dormant rule. You can reopen a dormant bay within one year by writing to the desk, and the desk will charge a reopening fee set out in the current schedule.

6. Floor note runs

A floor note run carries a slip between departments inside the building and collects a signature at each threshold. The desk schedules runs twice a day and on demand when a review is waiting. A run is complete when the receiving clerk has signed the slip and the counter has marked the bay sheet. A run that stalls for more than one working day is escalated to the desk supervisor.

You agree that a floor note may include a summary of your request that is necessary for the receiving clerk to act on it. The summary is limited to the fact that has changed, the person who noticed it and the person who must act. The desk will not forward a floor note to a person outside the company or the developer without your written agreement. If you need proof that a run completed, the desk can copy the signed slip and stamp it for your file.

7. Seller letter desks

A seller letter may be posted through the counter slot, sent by email or handed in at the desk. The desk reads every letter the same working day and replies through the same channel. A first letter from an unfamiliar seller is treated in the same way as a letter from a regular partner, and no account is required.

A seller is responsible for the accuracy of any claim made in a letter about a part, a lead time or a certification. The desk may ask an engineer to confirm a technical claim before the reply is sent, and the desk may decline to pass a claim to a client if the claim cannot be confirmed. The desk does not broker goods on behalf of a seller, does not hold stock for a seller and does not guarantee that a letter will lead to an order.

8. Stock windows

A stock window is a short scheduled reading of the parts catalogue against the physical shelf. The desk runs a stock window at least once on every working day and records the result in the margin of the relevant bay sheet. A difference between the catalogue and the shelf is marked and corrected before the window shuts. A stock window is not a formal audit and does not replace an external inspection.

You may request a seat at a stock window, and the desk will hold one chair for you subject to the safety rules of the building. We may reschedule a window because of a delivery, a safety inspection or the absence of a clerk. If you need a stamped copy of a window margin for a compliance file, tell the desk at the time you book the seat, and the desk will prepare the copy at the end of the window.

9. Listing review rounds

A listing review round checks every published description with two readers, one guarding clarity and one guarding accuracy. A listing is released only when both readers have signed the same margin, and the signed margin is kept in the bay that produced the listing. The desk may reject a listing that cannot be confirmed, and the rejection is recorded as part of the round.

You may submit a description of your own for a review round. The desk will return the marked copy with both signatures or with a written list of the points that blocked it. A review round is an editorial and technical check of a description; it does not certify the underlying product, does not test a safety property and does not replace a statutory conformity assessment.

10. Pack sittings

A pack sitting is the final sight check of an order before the box is sealed. The packer lays out every item in order and reads the serial numbers, firmware cards, power leads, manuals and test certificates against the bay sheet. The box is sealed only when the sheet is satisfied. If an item is missing or a serial number does not match, the sitting ends and the order waits.

You may attend a pack sitting. If you cannot attend, the desk will record the reading on the bay sheet and send a short note confirming what was checked. A pack sitting must be booked in advance, and the desk may ask you to confirm the delivery address and the recipient name before the box is sealed. Once the box is sealed and handed to the courier, the risk of loss passes as described in section fourteen.

11. Your obligations

You agree to provide accurate contact details and to keep them current while a bay is open. You agree to answer a question from the desk within a reasonable period, and you accept that a delayed answer can move a stock window or a pack sitting to a later date. You agree not to send material that infringes the rights of another person and not to instruct the desk to pass on a claim that you know to be false.

12. Prohibited uses

You may not use the website or the desk to break the law, to infringe the rights of another person, to send a message that is abusive or threatening, to transmit malicious code or to probe the security of the site without written permission. You may not scrape the pages of the website at a rate that degrades the service for other visitors, and you may not present the desk as your own operation or resell a service under a false name.

You may not use a seller letter to send unsolicited advertising to another client, and you may not use a bay to store material that the company is not licensed to hold. The desk may refuse a request and may suspend a bay where it has a reasonable belief that a prohibited use is taking place, and the desk will tell you the reason for the suspension where the law allows.

13. Fees, invoicing and payment

Fees for the six services are quoted before a bay is opened, and the quote is written on the order sheet. A quote is valid for thirty days unless the order sheet says otherwise. Where a service is charged by time, the desk records the time on the bay sheet as the work proceeds, and you may ask to see the running total at any point during a stock window.

Invoices are issued at the close of a bay or at the close of a month, whichever comes first. The payment period is stated on the invoice and is normally fifteen days for a client with an established record and prepayment for a first engagement. Late payment may attract a charge at the rate stated on the invoice, which will not exceed the maximum permitted by applicable law. A disputed item on an invoice does not excuse payment of the undisputed part.

14. Delivery and risk

The desk prepares an order for delivery and hands the sealed box to a courier chosen by the client or by the desk with the client agreement. A delivery date given by the desk is an estimate and is not a guarantee unless the order sheet says that time is of the essence. Where a courier causes a delay, the desk will chase the courier and keep you informed, but the desk does not control the courier network.

The risk of loss or damage passes to the client when the sealed box is handed to the courier, unless a separate written agreement says otherwise. Title in the goods passes when the invoice is paid in full. A courier claim must be raised with the courier within the period stated on the delivery note, and the desk will supply the pack record and the photographs that support the claim.

15. Warranty and remedies

We warrant that each service will be performed with reasonable care and skill, that the pack record will accurately reflect the items checked at the sitting and that the review round will carry two genuine reader signatures. We do not warrant that a part will function in a particular environment, that a listing will satisfy a regulator or that a courier will meet a delivery estimate.

If a service does not meet the warranty, tell the desk within thirty days of the pack record and give the bay number and the nature of the problem. The desk will investigate, and where the complaint is justified the remedy is, at the company choice, a re-run of the affected service, a correction of the record or a refund of the fee for that service. These remedies are the only remedies available for a breach of the warranty, except where the law does not allow them to be limited.

16. Limitation of liability

To the maximum extent permitted by law, the company is not liable for an indirect or consequential loss, a loss of profit, a loss of revenue, a loss of business opportunity or a loss of data that arises out of the use of the website or the desk. The company total liability for all claims connected with a bay is limited to the fees paid for that bay in the twelve months before the claim arose.

Nothing in these terms excludes a liability that cannot be excluded by law, including a liability for death or personal injury caused by negligence, a liability for fraud and a liability under a mandatory consumer protection rule. Where a law limits the effectiveness of a clause in this section, the clause applies to the fullest extent that the law allows and the rest of these terms remain in force.

17. Intellectual property

The website, its layout, its stylesheet and its script are owned by the company and are protected by copyright. The name KunMing LouHangXu E-Commerce Co., Ltd. and the marks used at the counter belong to the company. You may read the pages, print a page for your own reference and quote a short passage with attribution, but you may not copy the design, republish a page or use a mark in a way that suggests an endorsement you do not have.

You keep the rights in the drawings, specifications and descriptions that you send to the desk. By sending them, you grant the desk a limited licence to copy them inside the building, to mark them for a review round and to send them to a service provider who is required to keep them confidential. The desk does not acquire a right to publish your material and will not include it in a public listing without written permission.

18. Privacy

Our Privacy Policy explains what personal information the desk collects, how it is used and how long it is kept. The Privacy Policy forms part of these terms, and a reference to it here is a reference to the version that is published on the privacy page of this website at the time of your request. Where these terms and the Privacy Policy appear to conflict on a privacy matter, the Privacy Policy prevails.

You may exercise a privacy right at any time by writing to orders@hangxuecom.lat. The desk will not treat a privacy request as a breach of these terms and will not suspend a bay because a client has asked to see or correct a record.

19. Suspension and termination

You may close a bay at any time by writing to the desk. Fees for work already performed remain payable, and the desk will bind the sheet and return the pack record to you. The company may suspend a bay where a fee is overdue, where a prohibited use is taking place or where the desk cannot continue safely, and it will tell you the reason and the step needed to restore the service.

The company may terminate these terms with thirty days notice. On termination, every open bay is closed in an orderly way, the records are bound and the client receives a final invoice. A clause that by its nature survives termination, including a clause on liability, intellectual property, privacy and governing law, continues to apply after the agreement ends.

20. Force majeure

Neither party is liable for a failure to perform that is caused by an event outside its reasonable control, including a natural disaster, an epidemic, a power failure, a network outage, a strike, a government order or a building evacuation. The affected party must tell the other party as soon as it can and must take reasonable steps to reduce the effect of the event. If the event lasts for more than sixty days, either party may close the affected bay on written notice, and the desk will invoice only the work that has been completed.

This section does not excuse a payment obligation that fell due before the event began, and it does not allow a party to avoid a duty of confidentiality that applies to material it already holds.

21. Governing law and disputes

These terms are governed by the law of the People Republic of China, and the courts of KunMing City have exclusive jurisdiction over a dispute that cannot be settled by discussion. Before a party starts a court proceeding, the parties agree to meet at least once, in person or by conference call, to try to resolve the matter. A meeting must be requested in writing and must take place within twenty working days of the request.

Nothing in this section prevents a party from asking a court for urgent relief, such as an order to protect confidential material, where a delay would cause serious harm. The parties will keep the details of a dispute confidential except where disclosure is required by law or is needed to enforce a judgment.

22. Changes to these terms

The company may update these terms to reflect a change in the services, in the law or in the way the desk operates. When a change is material, the desk will publish a notice on this page for thirty days and will update the date at the top of the page. A bay that was opened before the change continues under the terms that applied when it was opened, unless the law requires the new terms to apply.

The version of these terms that appears on this page is the current version and replaces every earlier version. If you do not agree to a change, you may close an open bay under section nineteen, and the closing will follow the procedure described there.
